Terms & Conditions

1. Definitions

  • “Client” refers to any party purchasing services from Transform Asia Limited.
  • “Transform Asia”, “we”, “our”, or “us” refers to Transform Asia Limited.
  • “Services” refers to the agreed deliverables outlined in the invoice, proposal, or project scope, which may include lead generation, outreach, CRM setup, or business development support.


2. Scope of Services

Transform Asia provides the following services:

  • Cold Email & LinkedIn Outreach
  • Lead Research and List Building
  • CRM and Data Infrastructure Setup
  • Business Development Execution
  • Sales Strategy and Consulting

Services are delivered on a best-effort basis, with no guarantees of lead conversion, as results may vary depending on market conditions, client offer, and product-market fit.


3. Client Obligations

The Client agrees to:

  • Provide all necessary access and information required to perform the Services.
  • Collaborate actively during the campaign (e.g., feedback loops, approvals, or access to tools when applicable).
  • Follow up on introductions or meetings generated, unless otherwise agreed in writing.

Transform Asia cannot be held responsible for non-responsive leads or lack of conversions, as these depend on multiple external factors.


4. Payment Terms

  • Services are billed on a monthly retainer basis, with payment due upfront before the start of each billing period.
  • If a success fee or commission-based model is agreed upon, this will be subject to a separate written agreement.
  • No refunds are provided once a billing cycle has commenced, regardless of whether the Client chooses to utilize the full scope of services during that period.


5. Term & Termination

  • There is no minimum term. Clients may cancel anytime, with the termination effective at the end of the current paid period.
  • Transform Asia also reserves the right to terminate a project if the Client fails to collaborate, becomes unresponsive, or violates these Terms.
  • In case of disagreement, both parties commit to resolving disputes in good faith.


6. Use of Subcontractors & Tools

  • Transform Asia may engage subcontractors or freelancers to execute services.
  • We may use our own infrastructure (email servers, automation tools, CRMs, etc.) unless otherwise agreed to work within the Client’s tools or accounts.
  • When managing a Client’s CRM, appropriate access and security protocols will be discussed beforehand.


7. Data Ownership & Privacy

  • All prospect and campaign data collected during the contract term will be shared with the Client.
  • The Client retains full access to and ownership of the data collected on their behalf.
  • We do not resell or reuse Client-specific data with other clients.


8. Limitations of Liability

  • Transform Asia shall not be held liable for any indirect, incidental, or consequential damages arising from the use of its services.
  • Our total liability shall not exceed the fees paid by the Client for the specific month in which the issue arose.


9. Jurisdiction

In case of dispute:

  • The parties agree to resolve it amicably, in good faith.
  • If unresolved, the matter may be escalated to arbitration under the jurisdiction of Singapore or France, as agreed between parties.
